Company Formation and Registration in Malta
Incorporation:
A limited liability company may be registered by the shareholders or their
authorised agent. In practice, through our team of lawyers and accountants,
we will carry out all necessary formalities in order to have the company incorporated.
Subscribers may be individuals or corporate. Nominee shareholding is also permissible
through the services of our nominee company licensed by the Malta Financial Services
Authority.
Capital Requirements:
The Minimum issued share capital of a company is the equivalent of Lm 500
expressed in any convertible foreign currency. At least 20% of the issued share
capital has to be paid upon incorporation.
Shareholding:
The minimum number of shareholders is normally two, however a “single member
company” may also be registered under the Maltese Companies Act. Through our
licensed nominee company, we can offer the services of nominee shareholding for
those persons who wish to avail themselves of said services.
Participation in Maltese companies by residents of the European Economic Area
(EEA) is completely unrestricted. Where non-EEA residents are concerned, prior
clearance by the Registrar of Companies would have to be obtained. Non-EEA residents
are thus required to submit a satisfactory bank or other reference from a reputable referee
of standing (such as a bank or other financial institution.
Registered Office:
Every company registered in Malta must have a registered office in Malta. Our company can
offer, at the client’s option, back office services including the registered office as required by
law.
Directors and Secretary:
All companies must have at least one director and a secretary. At the client’s option,
we can offer the services of nominee director and company secretary through our licensed
nominee company.
Time Required for Incorporation:
The length of time to incorporate depends on the type of company and on whether all
information and documentation is available and in order. The process may take from as
little as 24 hours.
Company Returns:
Annual returns are to be filed annually by all onshore companies. Annual returns must
be sent to the Registrar of Companies accompanied by a payment depending on the
authorised share capital. This varies between Lm 70 - Lm 420.
Registration and Fee Structure
Once the constitutive documents of the Company (i.e. the Memorandum and Articles
of Association of the company) are drafted, a copy of same is forwarded to the Registrar
of Companies for registration. Evidence, in the form of a bank deposit slip showing that the
paid up share capital of the company has been deposited at the bank, must be produced
together with said Memorandum & Articles of Association.
Upon registration, the Registrar will issue a certificate of registration, showing that the
company has been officially registered. A record of all company registrations is available
for public inspection.
The fees payable by a company to the Registrar of Companies upon registration are
calculated according to the company’s authorised share capital and vary from Lm150 to
a maximum of Lm750.
